Comic Art Fans Announces Company Conversion to Public Benefit Corporation


Orlando, FL – November 18, 2025 – Collectors Network Holdings, Inc. and its operating arm, Collectors Network, LLC, announced today that both entities have elected to convert to being a Public Benefit Corporation (PBC) under Delaware law. The companies will hereafter be referred to as Collectors Network Holdings, PBC and Collectors Network, PBLLC (collectively CNPBC).

CNPBC owns and operates ComicArtFans.com (CAF), the global hub for everything related to original art from comic books and other narrative or visual storytelling art, as well as several other brands including the Original Art Expo(OAX), the Jack & Roz Kirby Awards, the Comic Art LIVE virtual art con (CAL), Indie Comics Creator Con (IC3), Art Scout, the CAF+ YouTube channel, and the deCAF mobile app (Apple App Store/Google Play).

PBCs are a distinct class of companiesrecognized under Delaware law, through the amendment of the company’s Certificate of Formation, that balance financial performance with public benefits such as social and environmental responsibility. Unlike traditional corporations, PBCs are legally required to consider the interests of all their stakeholders, including employees, communities, and customers, as well as its public benefit, in addition to the interests of its shareholders.

The transition to a PBC was unanimously approved by our Board of Directors on October 20, 2025, with the Board being comprised of Bill Cox, Kasra Ghanbari, Scot Wingo, and Jimmy Palmiotti. The Board’s vote was immediately followed by unanimous approval by our shareholders.

Our Benefit Statement reads, “CNPBC is dedicated to advancing public education, appreciation, and participation in the narrative and visual storytelling arts.” Our company’s statement and mission continue with, “We build fundamental platforms with enabling features that assist artists and underserved creatives, as well as art collectors, artist representatives, art dealers, galleries, and various cultural institutions. Our mission is to support diverse and sustained artistic expression while conveying the empowerment and joy that comes from individuals experiencing and owning art.”
